Terms of Service

Effective Date: October 31, 2025

1. Overview

These Terms of Service (“Terms”) govern the relationship between CodeVelo.dev LLC (“CodeVelo,” “we,” or “our”) and the client (“Client,” “you”) for all services provided. By using our services, you agree to these Terms.

2. Scope of Work

The specific scope, deliverables, and milestones will be defined in the applicable Project Proposal or Statement of Work (SOW). Any changes require written agreement by both parties.

3. Payment

  • A deposit is required before project commencement unless otherwise stated.
  • Invoices are payable within 15 days of issue.
  • Late payments may incur a 2% monthly finance charge.
  • Ownership of deliverables transfers to the Client only after full payment is received.

4. Intellectual Property

Ownership and licensing of deliverables are governed exclusively by the Master Service Agreement and applicable Statement of Work.

Upon full payment, ownership of final, paid-for deliverables transfers to the Client. CodeVelo retains ownership of all pre-existing materials, internal tools, frameworks, and reusable components.

5. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information, trade secrets, and client data disclosed during the project.

6. Warranties & Limitations

CodeVelo warrants that services will be performed professionally and to industry standards.
We are not liable for indirect or consequential damages. Total liability shall not exceed the amount paid for the project.

7. Termination

Either party may terminate the agreement with written notice. Client must pay for work completed up to termination date. Deposits are non-refundable.

8. Governing Law

These Terms are governed by the laws of West Virginia, United States.
